Software terms and EULA
Effective 21 September 2026. Version 11.
About these terms
These terms cover the Kanzai desktop application, including free use. iQit BV, trading as Kanzai, supplies Kanzai from Uilenstraat 73, 9100 Sint-Niklaas, Belgium. Its enterprise number is 0870.611.820 and its VAT number is BE 0870.611.820. Write to support@kanzai.io with a question about these terms. Kanzai is licensed, not sold. Third-party components retain their own licenses.
Permitted use
Subject to the agreed license and mandatory law, the supplier grants you a non-exclusive right to install and use Kanzai for your personal or internal business projects. You must have authority to access the repositories, files, accounts and services you connect. Do not redistribute or resell Kanzai or license keys, infringe others’ rights, or use the app unlawfully. Restrictions do not limit rights that applicable law gives you, including permitted interoperability, backup and reverse engineering rights. No ownership of your repositories or work is transferred to the supplier.
Free use and paid access
Without a valid key, Kanzai permits three agents working at once, two actions per project, one custom column per project, one sketch per project and one document per project. An agent counts while it is working, and while Kanzai rebases, commits or merges its card, whatever column the card is in. An agent that is waiting for you does not count. An action’s agent turn counts while it runs. Free use has no countdown. A valid key lifts those five caps. Projects, cards, repositories and the project assistant are not capped by these limits. Agent-provider subscriptions and usage charges are separate. You pay them to the provider. See Usage costs below.
The price is shown at checkout before you pay. One key covers three machines. The license is a monthly or yearly subscription. Polar charges your payment method on each monthly or yearly billing date until you cancel. A checkout can carry a fourteen-day trial. Polar collects your payment method at the start of the trial. The first charge lands when the trial ends. A cancellation before the trial ends costs nothing. The trial runs once per customer. Polar matches a returning customer on the normalised email address and on the payment method fingerprint. Polar counts machine activations. A key already cached on the same machine is validated again when pasted. To move to a new machine, release the old one in your Polar customer portal. Kanzai has no in-app control for that. Offline KZ1 keys do not call Polar or enforce an activation count. The agreed machine allowance still applies.
Activation, expiry and termination
Pasting a key can activate it immediately; pressing Enter also submits it. Polar activation needs a network connection. A successful check is cached for fourteen days. After that, an unreachable license service restores the free caps until validation succeeds. Revocation or expiry can take effect only after the cache stops being valid. KZ1 keys expire at the date encoded in the key. A system clock more than one day behind the stored clock mark can also restore free caps.
Expiry restores the free limits; it does not delete your boards, worktrees or diffs. Existing excess actions and columns remain stored but are locked in the configuration interface. Existing excess sketches and documents remain stored but open read only. Running sessions can still be accessed and stopped. You can still review and merge work. You may stop using and uninstall Kanzai at any time. Uninstalling does not cancel a subscription or automatically erase local project data.
The supplier may terminate this license for a material breach after notice and a reasonable opportunity to remedy it, unless immediate action is required by law. Statutory refund and remedy rights remain available. Commercial cancellation is addressed in the purchase and refund terms.
Agents, files and commands
Kanzai launches agents and tools that can read and change accessible files, execute shell commands, contact external services and use configured credentials. Task worktrees isolate branches; they are not a guarantee of security isolation. Permissions depend on the agent and its configuration. Do not assume every command prompts for approval. On macOS and Linux, task agents may keep running after you quit Kanzai. On Windows they do not, because the app owns each agent’s process. Quitting there ends an agent that is still working. Kanzai warns first, and it offers to wait until the agents finish.
Agent actions. An agent action is something that an agent or Kanzai does on your behalf. Agent actions include commands, file changes, merges, pushes, calls to external services and the usage that an agent provider charges for. You authorize each agent action that you request, approve, configure or permit through gates, actions and other automatic settings. You are responsible for the consequences of the agent actions that you authorize.
Usage costs. Agents run on your account with the agent provider. The provider charges that account for their work. Kanzai starts some agent turns without a click from you. It starts a card from Ready when a slot frees. It asks an agent to commit, or to resolve a conflict, before a merge. It runs the actions that a column or a gate is set to run. It sends the review comments that those actions file. Each of these turns can cost money. A fault in Kanzai, in the agent or at the provider can repeat a turn or leave an agent running. On macOS and Linux, an agent can keep running after Kanzai quits or stops responding. Set a spending limit with your provider, and check which agents are running.
Merging and pushing. Kanzai merges an approved card into its target branch. It then pushes that branch to the repository’s remote. A push can start builds, tests or deployments that you have set up. Check what a push to each branch does before you approve work.
Automatic settings. Some settings let Kanzai move, merge or run work with no person in between. One example is a gate that lets cards into Approved on their own. When you turn such a setting on, you accept that work can land without review.
Your settings and accounts. You are responsible for choosing agent permissions and approval settings, following each agent provider’s terms, paying each provider’s charges, setting spending limits and monitoring agents that run unattended.
Human review. A person must review an agent action before it deploys, deletes data, changes permissions, sends an external message or makes a payment or a purchase. Do not let a gate, an action or another automatic setting take these agent actions without that review. Approval prompts, gates and automated reviews are aids. They can miss a harmful agent action. They cannot undo an agent action that has already completed.
Agent providers. Agents are third-party tools. Their providers set their own terms, limits and prices, and you must follow them. The supplier does not control the providers. It is not responsible for their outages or their limits. It is not responsible if a provider suspends your account. It is not responsible if a provider changes its tool and Kanzai stops working with it.
You choose the tasks and access you grant. Review prompts, permissions, commands, diffs, generated content and test results before approving, merging or publishing work. Keep appropriate backups. Check output for errors, secrets and third-party rights. Agent output can be incorrect or harmful. Human review is part of using the product; it does not waive the supplier’s legal obligations. The supplier stays responsible where mandatory law makes it responsible. The supplier also stays responsible for loss that it causes through gross negligence or deliberate misconduct.
Updates
The app checks for updates at launch. It also checks when you pick “Check for updates…” from the Kanzai menu under the logo. Installation requires your action and restarts the app. The updater verifies signed downloads. The current updater does not require a paid license. Updates are available while your subscription is live. Nothing here promises indefinite future releases. If Kanzai is discontinued, subscribers are told at least thirty days before, and no charge is taken after that notice. Any agreed maintenance period and legally required updates must be honored.
The supplier may change or remove features. Valid reasons include fixing faults, following the law, keeping up with changes at agent providers, and improving Kanzai. A change that makes paid access clearly worse is announced at least thirty days before. A subscriber may then cancel at no cost.
Warranties and liability
To the extent the law permits, Kanzai is provided as available without a promise that it is error-free or suitable for every purpose. For business users, the supplier excludes indirect or consequential loss and loss of profits, to the extent lawful. For business users, the supplier’s total liability for Kanzai and these terms is limited, to the extent lawful. The limit is the higher of two amounts: the license fees that you paid in the twelve months before the first claim, or €100. The limit is one total for all claims, on any legal ground. It includes charges from agent providers. A business user covers the supplier’s losses from claims that others bring. This applies only to a claim that comes from the business user’s unlawful use of Kanzai, unauthorized access or breach of these terms. Nothing excludes or limits liability for fraud, deliberate misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.
Consumers retain all mandatory rights, including conformity, required updates, repair or replacement, price reduction, termination and refunds where applicable. No disclaimer, termination provision or other clause overrides those rights. Belgian law governs these terms. Claims go to the Belgian courts of the supplier’s registered seat. A consumer keeps the right to bring a claim in the courts of their own country.
